By accessing or using Aminyx's platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Description of Service

Aminyx provides a SaaS platform for international trade operations, including AI-powered sourcing tools, supplier verification, digital trade identities, and transaction management features. Our platform is a technology tool designed to facilitate B2B trade connections and operations.

Platform as a Tool

Aminyx is a software platform that provides tools and infrastructure for trade operations. We are not a broker, agent, or party to any transactions between users. All trade agreements, negotiations, and transactions are conducted directly between buyers and suppliers. We do not guarantee the outcome of any business relationship formed through our platform.

User Responsibilities

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

Accurate Information

You agree to provide accurate, current, and complete information when creating your account and Digital Trade Identity. Misrepresentation of your business or capabilities may result in account suspension or termination.

Lawful Use

You agree to use our platform only for lawful purposes and in accordance with international trade regulations. You must not use our services to facilitate illegal activities, fraud, or sanctions violations.

AI Usage Responsibility

Our platform uses AI agents to assist with sourcing, verification, and trade operations. While we strive for accuracy, AI-generated recommendations and analyses should be used as decision-support tools, not as definitive advice. Users are responsible for verifying information and making their own business decisions. We are not liable for decisions made based on AI-generated content.

No Brokerage or Agency

Aminyx does not act as a broker, agent, or intermediary in trade transactions. We do not take ownership of goods, negotiate on behalf of users, or guarantee the performance of any party in a transaction. All agreements are made directly between users.

Trust Scores and Verification

Our trust scoring and verification features are based on available data and AI analysis. While we implement rigorous verification processes, we cannot guarantee the accuracy of all information or the future performance of any user. Trust scores should be one of many factors in your decision-making process.

Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. You can cancel at any time, and cancellation takes effect at the end of the current billing period. No refunds are provided for partial months or unused features.

When escrow payment features become available, separate terms and fees will apply to payment processing services.

Intellectual Property

The Aminyx platform, including all software, AI algorithms, designs, and content, is owned by Aminyx and protected by intellectual property laws. You receive a limited, non-exclusive license to use our platform according to these terms. You retain ownership of your data and content.

Prohibited Activities

You may not:

• Attempt to circumvent security measures or access unauthorized areas
• Scrape, harvest, or collect user data without permission
• Use the platform for illegal activities or sanctions violations
• Impersonate other users or misrepresent your identity
• Interfere with the platform's operation or other users' access
• Reverse engineer or copy our proprietary technology

Limitation of Liability

To the maximum extent permitted by law, Aminyx and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or any transactions conducted through it. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

Service Availability

We strive to maintain platform availability but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features at any time. Our platform is provided "as is" without warranties of any kind.

Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent or harmful activities. You may terminate your account at any time through your account settings.

Dispute Resolution

Any disputes arising from these terms or use of our platform shall be resolved through binding arbitration in accordance with commercial arbitration rules. You waive any right to participate in class action lawsuits or class-wide arbitration.

Changes to Terms

We may update these Terms of Service from time to time. We will notify users of material changes via email or platform notification. Continued use of the platform after changes constitute acceptance of the new terms.
